The terms below govern the relationship between Zeus Black and its clients. Written plainly. No buried clauses.

Scope of Service
Zeus Black provides a custom-built financial intelligence system for construction businesses operating in South Africa. Each engagement is purpose-built around the client's operations, projects and reporting needs.
Custom Builds & Milestones
Every project is delivered as a once-off custom build. Work is structured around defined development milestones agreed in writing at the start of the engagement.
Payments
Payments are tied to the completion of agreed development milestones. Zeus Black does not operate on a subscription model. Invoices are issued per milestone and are payable on the agreed terms.
Licence to Use
Clients receive a non-exclusive licence to use the delivered system internally within their business. The licence does not permit resale, sublicensing, or redistribution.
Intellectual Property
Zeus Black retains full intellectual property rights to all software, systems, code, designs and methodologies created in the course of any engagement. For the avoidance of doubt, all business data, project data, and financial information entered into the system by the client remains the sole property of the client at all times.
Client Data Responsibility
Clients are responsible for the accuracy, completeness and lawful provision of any data entered into or supplied to the system. Outputs reflect the data provided.
Nature of the System and Disclaimer
Zeus Black is a financial visibility and decision-support system. All figures displayed within the system are calculated from data entered by the client, their site foreman, and their office manager. Zeus Black (PTY) Ltd does not warrant the accuracy of any figure that is based on inaccurate or incomplete user-entered data. Zeus Black does not constitute and must not be relied upon as professional quantity surveying, certified financial advice, legal advice, or audited financial statements under any South African law or construction contract standard (including but not limited to JBCC, NEC, GCC, or FIDIC). Zeus Black claim packs are supporting business documents and do not replace formal payment certificates prepared by a registered professional. The client remains solely responsible for verifying all figures before submitting payment claims or making financial decisions.
Access & Suspension
Access to the system may be restricted or suspended in cases of non-payment, misuse, or material breach of the engagement agreement.
Updates & Improvements
Zeus Black may update, refine or improve the system over time to maintain performance, security and quality.

Governing Law
These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
Limitation of Liability
To the fullest extent permitted by South African law, Zeus Black (PTY) Ltd shall not be liable for any indirect, consequential, or financial loss arising from the use of or reliance on the system or its outputs. Zeus Black's total liability to any client under any engagement shall not exceed the total fees paid by that client for the relevant build.
Termination
Either party may terminate an engagement by written notice. In the event of termination by the client, Zeus Black retains all milestone payments received up to the date of termination for work completed. In the event of termination by Zeus Black due to non-payment or material breach, the client forfeits access to the system until outstanding amounts are settled. Zeus Black will make reasonable efforts to provide the client with a copy of all data entered into the system prior to termination.
